Ladies and Gentlemen:

I hereby submit to you for your consideration material (“the Script”) written or controlled by me. I recognize the possibility that the Script may be identical with or similar to that which has or may come to you from other sources. Because such similarity has in the past given rise to litigation, unless you can obtain adequate protection in advance, you will refuse to consider the Script.

To encourage you to examine the Script, and in consideration for your so doing, I represent, warrant, and agree as follows:

I submit the Script voluntarily, on an unsolicited basis, and not in confidence.

I represent and warrant that I own the Script, free of claims or encumbrances.

I agree that no obligation of any kind is assumed or may be inferred against you by reason of your consideration of the Script or any discussion or negotiations we may have with respect thereto, except pursuant to an express written agreement hereafter executed between us, which by its terms will be the only contract between us.

I have read, understand, and comply with the rules and regulations of the American Screenwriting Competition as displayed on the Web site www.flatshoe.com.

You agree that you will not use the Script unless you shall first negotiate with me and agree upon compensation to be paid to me for such use, but I understand and agree that your use of material containing features or elements similar to or identical with those contained in the Script shall neither obligate you to negotiate with me nor entitle me to any compensation if you determine that you have an independent legal right to use such other material not derived from me (either because such features or elements were not new or novel, or were not originated by me, or were or may hereafter be independently created and submitted by other persona).

Should any provision of this agreement be void or unenforceable, such provision shall be deemed omitted, and this agreement with such provision omitted shall remain in full force and effect.

This agreement represents the complete understanding between us regarding my submission of the Script. No statements or representations have been made except those expressly provided by this agreement. This agreement may be modified only by subsequent written agreement.

This agreement will be interpreted in accordance with the laws of the State of California applicable to agreements into and fully performed therein.
